Ralph is a business transactions and estate planning attorney known for his strong negotiating skills and pragmatic problem solving approach. He has nearly 20 years of experience representing a broad variety of businesses, investors, entrepreneurs and individuals in Pleasanton, Livermore, Dublin, and the greater Tri-Valley Area and Bay Area.

Ralph’s practice includes:

Commercial Agreements

Drafting and negotiation of all forms of commercial agreements, including leases, technology and other licenses, confidentiality agreements, joint venture agreements, buy-sell agreements, and development agreements.

Entity Formation

Drafting formation and governance documents spanning all forms of business entities, including corporations, limited liability companies, limited liability partnerships, general and limited partnerships.

Investments

Representing companies and investors in securing all forms of private investments, including early round, angel and “friends and family” investments, institutional venture capital investments, and bridge and other debt financings.

Sale of Companies

Representing buyers and sellers in mergers, acquisitions, stock and assets sales and other reorganizations of companies.

Employment and Consulting Issues

Drafting and negotiating employment and consulting agreements, stock option plans and executive compensation arrangements.

Estate Planning
Advising both individual and family clients in Pleasanton, Livermore and the greater Tri-Valley Area and Bay Area on estate planning matters, ranging from the creation of various documents such as wills, revocable and irrevocable trusts, powers of attorney and health care directives, to evaluating beneficiary designations of accounts, lifetime gifting and business succession strategies. In addition, Ralph routinely reviews clients’ existing estate plans and will recommend changes, where appropriate.  Ralph also counsels clients with regard to the formation of charitable organizations.

Estate and Trust Administration

Assisting estate representatives and trustees in estate and trust administration matters, including representing executors, trustees and beneficiaries, advising clients on legal requirements and filing necessary documents in court on their behalf.

  • Represented manufacturer of high end food display items in global licensing and distribution agreement with prominent industry leading marketer.
  • Assisted two prominent East Bay country clubs in amending their bylaws and with regard to membership issues.
  • Assisted prominent manufacturer of smart phone accessories in securing global sales and distribution relationships.
  • Represented local mortgage bank in a stock redemption and reorganization.
  • Represented owners of prominent East Bay gourmet market in sale of minority interest to third party buyers.
  • Represented several franchisees of well-known exercise studio in organizing their businesses.
